Terms of Service

These Terms of Service ("Terms") govern your access to and use of Carnaan's mobile applications, website, APIs, and related services (collectively, the "Platform"), operated by Carnaan ("Carnaan," "we," "our," or "us").

Carnaan is a digital platform that connects individuals seeking spiritual guidance, pastoral care, counseling, mentoring, and related services ("Seekers") with verified spiritual leaders and professionals ("Guides") through in-person and virtual appointments.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Platform.

• "Platform" means the Carnaan mobile applications, website, APIs, and related services.
• "User" means any individual who creates an account or otherwise accesses the Platform, including Seekers and Guides.
• "Seeker" means a User who uses the Platform to find and book appointments with a Guide.
• "Guide" means a User who has registered, and where required been verified, to offer spiritual guidance, pastoral care, counseling, mentoring, or related services through the Platform.
• "Booking" means a scheduled appointment, whether virtual or in person, arranged between a Seeker and a Guide through the Platform.
• "Content" means any text, images, audio, video, documents, or other material submitted, uploaded, or transmitted through the Platform.

Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. By registering, you represent that you have the legal capacity to enter into a binding agreement. If you are registering as a Guide, you further represent that you have the qualifications, credentials, or standing you claim to hold.

Account Responsibilities

You are responsible for:

• Providing accurate, current, and complete registration information
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized use of your account

Carnaan is not liable for any loss arising from your failure to safeguard your account credentials.

Accurate Information

You agree to provide truthful and accurate information when creating your profile, booking appointments, and communicating with other Users, and to update that information as needed.

Prohibited Activities

You agree not to:

• Harass, abuse, threaten, or harm another User
• Impersonate any person or misrepresent your identity, qualifications, or affiliation
• Use the Platform for any fraudulent, unlawful, or deceptive purpose
• Circumvent the Platform to solicit or arrange payments outside of Carnaan where the Platform requires payments to be processed through it
• Upload Content that is unlawful, defamatory, obscene, discriminatory, or infringes the rights of others
• Interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its systems
• Use automated means (bots, scrapers) to access the Platform without our prior written consent

No Medical or Emergency Advice

Carnaan and its Guides do not provide medical, psychiatric, legal, or financial advice. Guidance offered through the Platform is spiritual, pastoral, or mentorship in nature and is not a substitute for professional medical, mental health, or legal services. If you are experiencing a medical or mental health emergency, or are at risk of harming yourself or others, contact your local emergency services immediately.

How Bookings Work

Seekers may browse Guide profiles and request a Booking based on a Guide's stated availability. A Booking is confirmed once accepted by the Guide (or automatically confirmed, where the Platform enables instant booking) and payment, where applicable, has been processed.

Cancellation and Refunds

Cancellation and refund eligibility depend on the notice given and the specific policy displayed at the time of booking. As a general rule:

• Cancellations made within the timeframe stated on the Booking may be eligible for a full or partial refund
• Late cancellations or no-shows by a Seeker may not be eligible for a refund
• A Guide's repeated cancellations or no-shows may result in account review or suspension

Carnaan reserves the right to mediate disputes over cancellations but is not obligated to issue a refund where a Booking has been fulfilled in accordance with these Terms.

Payment Processing

Payments made through the Platform are processed by third-party payment processors. Carnaan does not store full payment card details. By making a payment, you agree to the applicable payment processor's terms and authorize the charge for the Booking and any applicable service fees. Guides are responsible for any taxes owed on income earned through the Platform.

Verification Process

Carnaan may require Guides to submit identity documents, proof of religious or organizational affiliation, professional certifications, or other supporting materials before being listed on the Platform or marked as "Verified." Verification is intended to support trust and safety and does not constitute Carnaan's endorsement, certification, or guarantee of a Guide's qualifications, competence, or conduct.

Guide Obligations

Guides agree to:

• Provide accurate information about their qualifications, experience, and availability
• Conduct sessions professionally and in good faith
• Maintain appropriate confidentiality regarding matters discussed in sessions, subject to Section 8
• Comply with applicable laws and any professional or religious codes of conduct that apply to them
• Promptly update their profile if their qualifications, affiliation, or availability change

Carnaan is a connector, not a provider, of spiritual guidance, counseling, or related services. Guides are independent individuals or organizations and are not employees, agents, or representatives of Carnaan.

Carnaan does not guarantee:

• The outcome, quality, or suitability of any session
• The accuracy of any information provided by a Guide or Seeker
• The availability of any particular Guide at any particular time

The Platform is not intended for, and must not be used for, medical or psychiatric emergencies, crisis intervention, or any situation requiring immediate professional or emergency services.

Carnaan recognizes the sensitive nature of spiritual guidance. Information shared during a session is intended to remain confidential between the Seeker and the Guide, except where disclosure is required or permitted by:

• Applicable law
• An immediate risk of harm to the Seeker, the Guide, or a third party
• A valid court order or lawful request from a competent authority
• Mandatory reporting obligations applicable to the Guide's profession or jurisdiction

Carnaan encourages all Guides to maintain professional standards of confidentiality consistent with any applicable licensing, ordination, or professional body governing their practice.

Ownership of the Platform

The Platform, including its design, branding, logos, software, and underlying technology, is owned by Carnaan or its licensors and is protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Platform.

User-Generated Content

You retain ownership of Content you submit through the Platform. By submitting Content, you grant Carnaan a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that Content solely for the purpose of operating and improving the Platform. You are solely responsible for the Content you submit and represent that you have the right to share it.

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Carnaan does not warrant that the Platform will be uninterrupted, secure, or error-free, or that any defects will be corrected. Carnaan is not responsible for the conduct, advice, or actions of any Guide or Seeker, whether online or in person.

To the maximum extent permitted by applicable law, Carnaan's total aggregate liability arising out of or relating to your use of the Platform shall not exceed the total fees paid by you to Carnaan in the twelve (12) months preceding the event giving rise to the claim.

In no event shall Carnaan be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death, personal injury, or fraud.

You agree to indemnify and hold harmless Carnaan, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any applicable law or the rights of a third party
• Content you submit through the Platform

You may deactivate or delete your account at any time through the Platform or by contacting support.

Carnaan may suspend or terminate your access to the Platform, with or without notice, if you:

• Violate these Terms or any applicable policy
• Provide false or misleading information
• Engage in conduct that we reasonably believe harms other Users or the Platform
• Fail to complete required verification as a Guide

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination, including Sections 8 through 12, will survive.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of laws principles.

Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact Carnaan at legal@carnaan.com to attempt to resolve the dispute informally.

Mediation and Arbitration

If a dispute is not resolved informally within thirty (30) days, either party may refer the dispute to mediation administered by a mutually agreed mediator in Nairobi, Kenya. If mediation is unsuccessful, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration Act (Kenya), with the seat of arbitration in Nairobi and proceedings conducted in English. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction where necessary to protect its rights.

Carnaan may update these Terms from time to time to reflect changes in our services, legal requirements, or operational practices. Where changes are significant, we will notify Users through the Platform, by email, or by other reasonable means before the changes take effect.

Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
